Definitions

The Company – FilePro Pty Ltd – ABN 66 097 187 561

The Software – FilePro® – Legal Practice Management Software Client – The legal entity or person described in the Purchase Order Consumable File – An electronic file for single use in relation to a single matter

Client Services – Services offered to effect the implementation of the software not including installation, data migration and training

Data Migration – Conversion and import of data from pre-existing software systems

Document Sets – Pre-programmed forms for various legislatures and institutions

Purchase Order – An order, signed by an authorised representative of the client for the installation and implementation of the software

EFPS – Electronic File Purchase System – http://files.FilePro.com.au File Price – The per file price indicated in the Purchase Order Implementation – Installation, data migration, training and other client services as described in the purchase order

Licensee –Entity or person authorised by FilePro Pty Ltd to provide; installation, training, data migration, client Support and customised client services

Distribution

The software is developed, supplied and supported at no capital cost. There are no ongoing license or maintenance fees.

Pricing

The Company supplies consumable files for use with the software at a file price agreed to with the client, based on the estimated annual consumption provided by the client and indicated in the purchase order.

The Company reserves the right to review the file price based on the client’s actual annual consumption and increase the file price upon 30 days’ notice.

The Company reserves the right to review the file price annually with regard to CPI and other costs.

File Purchase

Consumable files are only available for purchase from the EFPS using VISA or MasterCard

GST

Unless GST is expressly included the consideration to be paid or provided under any section of these terms and conditions for any supply made does not include GST

Support Product Support & Warranty

The Company warrants the latest publicly released version of the software and provides website, remote access, email and telephone support for the software.

Help Desk Support

Where incorporated in the file price, helpdesk support includes:

1. General “how to” queries
2. Bookkeeping queries
3. Workstation installs/new staff set up
4. Customisation of FilePro report layouts
5. Assistance with FilePro upgrades

Does not include:

1. Server transfers
2. Development of customised client programming and reports
3. Data/company restructures or data cleansing
4. Onsite support and consulting

All other support whether by telephone, email or onsite attendance will be charged on a time and material basis or at an agreed set cost.

Other support will be conducted by company personnel or a licensee.

Training

Where incorporated in the file price, Training includes:

1. Scheduled face to face courses
2. CBD and Regional lecture-style courses
3. Online Learning Hub access
4. FilePro Webinars
5. FilePro Thought Leadership presentations

Does not include:

1. Onsite Training
2. Customised Training

Development

The Company continues to develop and enhance the software with the periodic release of new features and components. These upgrades are available at no cost. Clients will be advised of new releases and updates can be obtained via the Website.

The Company takes steps to ensure updates do not adversely affect the integrity of data; however, it is the client’s responsibility to ensure the ongoing accuracy of their own data.

Third-Party Applications and Integrations

The SQL Server database utilised by the software is open platform data storage and can be accessed by third-party applications. The company accepts no responsibility for the integrity of data edited through the use of such products.

FilePro is integrated with other third-party products.  To maintain the development of these integrations, FilePro may receive service fees from other vendors or businesses from time to time.

Operating Environment

It is the client’s responsibility to maintain the operating environment, both hardware and operating systems to the acceptable specification as published.
